Many businesses overlook the requirement of the need to complete the correct paperwork in line with Companies Act 2006. Once again we offer a full comprehensive company secretarial service to ensure your company is always compliant with the Companies Act 2006.
As part of this service we ensure that all the correct paperwork is completed to ensure your dividends are legal and correct, dividend vouchers are issued and when a dividend payment is made the relevant notes of meeting are completed to ensure HM Revenue & Customs cannot try to state that dividends are part of the owners remuneration and deem them subject to Tax and National Insurance. We will also issue all shareholders with an annual dividend summary/voucher for each tax year shortly after the 5th April making it easy for the shareholders to complete their personal Self Assessment Tax Return.
We record and note all the management meetings which take place and record them in the company register as well as prepare and execute any special resolution or ordinary resolutions which may be necessary for some changes to your company structure or name.
The company’s secretary’s job is also to keep the company Register which we will complete on your behalf. The company Register contains all its members, debenture information, directors interest, secretaries details and much, much more and again is a legal requirement by the Companies Act 2006.
The Annual Return needs to be completed by every limited company on an annual basis and this gives details of who the current shareholders, directors, secretaries and the rights to the shares which are in issue. There is a statutory filing fee which we will pay on your behalf and our service includes unlimited work during the year relating to change of members and directors addresses, appointments, resignations, issue of shares capital, dividend paperwork, issue of debentures and mortgage interests and ensuring your records are always kept up to date with Companies House.
As part of the annual fee we also allow the company to use our office as the SAIL (single alternative inspection location) meaning that any public member who wished to view your register would come to our office rather than the registered office.
We will keep the register on our software, so issuing duplicate information is not a problem.
There is an annual fee of £200 plus VAT for this service invoiced on the 1st February annually.
Alternatively, we can complete your Annual Return on your behalf and the cost of this is £50.00 plus VAT (excluding companies house filing fee of £14) however it then becomes your responsibility to ensure all of the correct paperwork (including dividend paperwork) is completed throughout the year.
